These terms govern your use of our website and the products and services we provide to our B2B partners.

1. Acceptance of Terms
By accessing and using the LiangChong Pet Nutrition website (the "Site"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please discontinue use of the Site immediately.
These Terms constitute a legally binding agreement between you ("Customer", "you", or "your") and LiangChong Pet Nutrition ("we", "us", "our", or "the Company").
2. Definitions
- "Products" refers to pet food, cat litter, freeze-dried treats, and any other goods manufactured or supplied by LiangChong.
- "OEM/ODM" refers to Original Equipment Manufacturing / Original Design Manufacturing services provided to brand partners.
- "Order" refers to a written or electronic purchase request accepted by LiangChong.
- "Quotation" refers to a price and specification proposal issued by LiangChong in response to an inquiry.
- "MOQ" refers to Minimum Order Quantity required for production.
3. Products & Services
LiangChong manufactures and supplies pet nutrition products for B2B customers, including distributors, retailers, and brand owners. Our products are manufactured in our ISO-certified facility in Hebei, China.
We reserve the right to modify, discontinue, or limit the availability of any product at any time without prior notice. Product specifications, formulations, and packaging may vary based on regional regulations and OEM/ODM requirements.
4. Orders & Quotations
4.1 Quotations
All quotations issued by LiangChong are valid for 30 days from the date of issue unless otherwise specified. Quotations are based on current raw material costs, exchange rates, and shipping costs at the time of quoting.
4.2 Order Confirmation
An Order is only binding when confirmed in writing by LiangChong. The Company reserves the right to decline any Order at its sole discretion.
4.3 Minimum Order Quantity (MOQ)
Each product category has a specified MOQ. MOQs may vary depending on formulation, packaging, and customization requirements. Please refer to individual product specifications or contact us for details.
5. Pricing & Payment
5.1 Pricing
All prices are quoted in USD unless otherwise agreed. Prices do not include applicable taxes, duties, customs fees, or shipping charges unless explicitly stated in the quotation.
5.2 Payment Terms
Standard payment terms require a deposit of 30-50% of the total Order value upon order confirmation, with the balance due before shipment. Specific payment terms may be negotiated for established partners.
5.3 Accepted Payment Methods
We accept payment via bank transfer (T/T), Letter of Credit (L/C), and other methods as mutually agreed. Payment instructions will be provided on the proforma invoice.
6. OEM / ODM Terms
6.1 Customization
OEM/ODM services include formula development, ingredient sourcing, packaging design, and regulatory documentation. Customization requirements must be agreed upon in writing before production begins.
6.2 Intellectual Property
Brand names, logos, and designs provided by the Customer remain the Customer's intellectual property. LiangChong-developed formulations and manufacturing processes remain the Company's intellectual property unless otherwise agreed in a separate licensing agreement.
6.3 Sample Approval
For OEM/ODM Orders, the Customer must approve production samples in writing before mass production begins. Once approved, mass production will conform to the approved sample specifications.
Important: Changes to approved formulations or packaging after mass production has begun may incur additional costs and delay delivery timelines.
7. Shipping & Delivery
7.1 Incoterms
Unless otherwise agreed, Orders are shipped on FOB (Free on Board) terms from the port of departure in China. Other Incoterms (CIF, DDP, EXW) may be arranged upon request.
7.2 Delivery Timeframes
Estimated production lead times are 15-45 days depending on product type, order volume, and customization level. Shipping time depends on destination and shipping method. Delivery dates are estimates and not guaranteed.
7.3 Shipping Damage
The Customer must inspect goods upon receipt and report any damage or shortage within 7 days. Claims filed after this period may not be accepted.
8. Quality & Compliance
All Products are manufactured in compliance with applicable international standards, including ISO 9001, ISO 22000, HACCP, and where applicable, FDA and Halal certifications.
The Customer is responsible for ensuring that Products meet the regulatory requirements of the destination country. LiangChong will provide necessary documentation (certificates of analysis, certificates of origin, etc.) upon request.
9. Returns & Refunds
9.1 Defective Products
If Products are found to be defective due to manufacturing errors, LiangChong will, at its discretion, replace the defective Products or issue a credit. Claims must be submitted with supporting evidence within 30 days of receipt.
9.2 Non-Defective Returns
Due to the nature of our products (pet food and consumables), returns of non-defective Products are generally not accepted unless specifically agreed in writing prior to the Order.
10. Intellectual Property
All content on this Site, including text, graphics, logos, images, and product designs, is the property of LiangChong Pet Nutrition or its licensors and is protected by international copyright and trademark laws.
You may not reproduce, distribute, or use any content from this Site without prior written permission, except for the purpose of evaluating Products for potential business with LiangChong.
11. Limitation of Liability
To the maximum extent permitted by law, LiangChong shall not be liable for any indirect, incidental, special, or consequential damages arising from the use of our Products or Site, including but not limited to loss of profits, business interruption, or loss of data.
The Company's total liability for any claim arising from Products or Services shall not exceed the amount paid by the Customer for the specific Products giving rise to the claim.
12. Force Majeure
LiangChong shall not be held liable for any failure or delay in performance caused by circumstances beyond its reasonable control, including but not limited to natural disasters, epidemics, war, government actions, labor disputes, or disruptions in the supply chain.
In such events, the Company will notify the Customer promptly and make reasonable efforts to resume performance as soon as possible.
13. Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the People's Republic of China, without regard to conflict of law principles.
Any dispute arising from these Terms or any business transaction with LiangChong shall first be resolved through good-faith negotiation. If no resolution is reached within 60 days, the dispute shall be submitted to arbitration under the China International Economic and Trade Arbitration Commission (CIETAC) in Beijing.
14. Changes to Terms
We reserve the right to modify these Terms at any time. Updated Terms will be posted on this page with a revised "Last updated" date. Your continued use of the Site after changes are posted constitutes acceptance of the updated Terms.
